ZONEIT BACKUP SERVICES AGREEMENT​

PLEASE READ THIS AGREEMENT CAREFULLY, AS IT CONTAINS IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS AND REMEDIES.

1. OVERVIEW​

This Backup Services Agreement (this "Agreement") is entered into by and between Zoneit ("Zoneit," "we," "us," or "our") and you ("you," "your," "User," or "customer") and is made effective as of the date of electronic acceptance. This Agreement sets forth the terms and conditions of your use of Zoneit's Backup Services (the "Services"), and represents the entire agreement between you and Zoneit concerning the subject matter hereof.

Your electronic acceptance of this Agreement signifies that you have read, understand, acknowledge and agree to be bound by this Agreement, along with Zoneit's Universal Terms of Service Agreement and any other agreements or policies that are expressly incorporated herein.

2. DESCRIPTION OF SERVICES​

2.1 General Description​

Zoneit Backup Services provide automated and on-demand backup solutions for your website content, database files, and associated data (collectively, the "Content") hosted on Zoneit's managed cloud hosting platform.

2.2 Service Features​

  • Automated daily backups
  • On-demand manual backup creation
  • One-click backup restoration
  • Secure off-site storage
  • Backup download capability
  • Version history management
  • Database backup support
  • File system backup support

2.3 Storage and Retention​

  • Backups are stored in secure facilities within Australia
  • Standard retention period is 30 days on a rolling basis
  • Extended retention periods available for premium plans
  • Backups are maintained for 30 days after service cancellation

2.4 Backup Management​

Through your Zoneit control panel, you can:

  • View backup history and status
  • Create manual backups
  • Restore backups to your hosting environment
  • Download backup files
  • Configure backup schedules
  • Manage retention settings

3. YOUR OBLIGATIONS​

3.1 Acceptable Use​

You agree to:

  • Use the Services in compliance with all applicable laws
  • Maintain accurate contact and billing information
  • Properly manage your backup configurations
  • Monitor backup status and notifications
  • Ensure sufficient storage space for backups

3.2 Prohibited Activities​

You may not use the Services to:

  • Store or backup illegal content
  • Backup content that infringes on third-party rights
  • Create excessive or unnecessary backups that strain system resources
  • Attempt to circumvent storage limits or service restrictions

4. DATA PROTECTION AND SECURITY​

4.1 Security Measures​

We implement industry-standard security measures including:

  • Encryption of backup data in transit and at rest
  • Secure storage in Australian data centers
  • Access controls and authentication
  • Regular security assessments
  • Compliance with Victorian Privacy and Data Protection Act 2014

4.2 Data Handling​

  • Backups are stored in isolated secure environments
  • Access to backup data is strictly controlled
  • We maintain audit logs of backup operations
  • Backup data is segregated by customer

5. SERVICE LEVEL AGREEMENT​

5.1 Availability​

  • We strive to maintain 99.9% availability of backup services
  • Scheduled maintenance windows are excluded
  • Emergency maintenance may be performed as needed

5.2 Recovery Time Objectives​

  • Standard backup restoration: Within 4 hours
  • Emergency restoration: Within 2 hours for critical systems
  • Download availability: Within 1 hour of request

6. LIMITATION OF LIABILITY​

6.1 Warranty Disclaimer​

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. While we implement robust backup procedures, we recommend maintaining independent copies of critical data.

6.2 Liability Limits​

Our liability shall be limited to:

  • The amount paid for Services in the previous 12 months
  • Direct damages only; no indirect or consequential damages
  • Exclusions apply where prohibited by law

7. TERMINATION​

7.1 Termination Rights​

  • Either party may terminate with 30 days notice
  • We may suspend services immediately for Agreement violations
  • You remain responsible for fees incurred through termination

7.2 Post-Termination​

  • Backup data retained for 30 days after termination
  • You must download any needed backups before data deletion
  • We may delete all backup data after the retention period

8. MODIFICATIONS​

We reserve the right to modify this Agreement at any time. Changes become effective upon posting to our website. Continued use of Services constitutes acceptance of modifications.

9. GOVERNING LAW​

This Agreement shall be governed by the laws of Victoria, Australia, without regard to its conflict of law provisions.
